Manner of representation

For making declarations of will concerning the foundation’s property and non-property rights and obligations and for signing contracts and obligations on its behalf, the joint action of two members of the management board, including the President, is required; however: a. in the area of the foundation’s property rights and obligations and for signing contracts and obligations on its behalf up to PLN 10,000.00 (in words: ten thousand złoty 00/100), each member of the management board is authorised to represent the foundation independently; b. for declarations of will concerning the foundation’s property rights and obligations and for signing contracts and obligations on its behalf that exceed ordinary management, the joint action of two members of the management board, including the President, is required. 2. The President’s signature is required for the validity of other letters and documents. 3. In contracts and disputes between the foundation and a member of the management board, the foundation is represented by a member of the Council of Founders delegated by its resolution or by an attorney-in-fact appointed by resolution of the Council of Founders.
