Manner of representation

1. If the management board is a one-person management board, the President of the Management Board makes declarations of will on behalf of the foundation. 2. If more than one person is appointed to the management board, each member of the management board makes declarations of will on behalf of the foundation, including those concerning property rights and obligations, independently, provided that declarations of will concerning the disposal of assets or incurring obligations exceeding PLN 25,000.00 (in words: twenty-five thousand zlotys) are made by the President of the Management Board jointly with one member of the management board. 3. In agreements between the foundation and a member of the management board, the foundation is represented by another member of the management board or an attorney-in-fact appointed by a resolution of the management board.
