Manner of representation

In the case of a one-person management board, the President is independently entitled to make declarations of will on behalf of the foundation. In the case of a multi-member management board, the following are entitled to make declarations of will on behalf of the foundation, including in property matters: the President acting independently, or two members of the management board acting jointly. In matters concerning the conclusion of agreements between the foundation and a member of the management board and in disputes with a member of the management board, the foundation is represented by an attorney-in-fact appointed by a resolution of the management board; the member of the management board to whom the given act relates does not participate in the vote concerning the appointment of the attorney-in-fact.
