Manner of representation

Each member of the management board is authorised independently to submit declarations of will and represent the company with respect to non-proprietary matters. In the case of a multi-member management board, the following are authorised to submit declarations of will and represent the company with respect to proprietary matters: for acts resulting in the acquisition of a right or an obligation to perform not exceeding PLN 100,000.00 in a single instance, the President of the Management Board independently; for acts resulting in the acquisition of a right or an obligation to perform exceeding PLN 100,000.00 in a single instance, two members of the management board acting jointly or a member of the management board acting jointly with a commercial proxy.
