Manner of representation

In matters not exceeding ordinary management, the company is represented by each member of the management board independently. In matters exceeding ordinary management, the company is represented by three members of the management board. In particular, the following are deemed matters exceeding ordinary management: a) matters resulting in the company incurring a liability or disposing of a right with a value equal to or exceeding PLN 10,000.00 (ten thousand zlotys), regardless of whether this concerns one or several related acts; in the case of continuous or periodic liabilities, the value of the performances throughout the entire period of existence of the liability is included in the amount referred to above, and in the case of liabilities of indefinite duration, a period of 6 months from the time the liability arose is included; b) approval of the company's financial statements and the management board's report on the company's activities; c) convening and determining the agenda of the shareholders' meeting; d) performing any acts which, pursuant to law or the company's articles of association, require the consent of the company's shareholders' meeting.
