Manner of representation

1. Declarations of will on behalf of the foundation, including in property matters, may be made by two members of the management board acting jointly, subject to point 2. 2. In matters connected with the day-to-day management of the foundation, including the employment of employees and commissioning of services, granting special powers of attorney and incurring property liabilities not exceeding PLN 15,000 (in words: fifteen thousand zlotys) per transaction, declarations of will on behalf of the foundation may be made independently by the Director of the Foundation. 3. Legal acts consisting in the acquisition or disposal of real estate, the establishment of encumbrances thereon, taking out a loan or granting a guarantee require a prior resolution of the management board, and if the value of the act exceeds PLN 50,000, also the consent of the founders. 4. In matters within the scope of employment law, the Director of the Foundation acts on behalf of the foundation as employer.
