Manner of representation

1. In the case of a one-person management board, the sole member of the management board represents the company independently. 2. In the case of a multi-member management board, each member of the management board is authorised to represent the company independently. 3. In the case of a multi-member management board, joint action by two members of the management board or by one member of the management board acting jointly with a commercial proxy is required for legal transactions resulting in the incurring of an obligation or disposal of a right with a value exceeding PLN 50,000.00 net (fifty thousand zlotys). 4. The restrictions referred to in paragraph 3 do not apply to activities within the scope of labour law, in particular concluding, amending and terminating employment contracts and other contracts related to employment, which each member of the management board is authorised to perform independently.
