Manner of representation

For making declarations of will concerning the company’s property and non-property rights and obligations, irrespective of the type of transaction and the value of the right being disposed of or the obligation, the following are authorized: 1. in the case of a one-person management board, the President of the Management Board individually; 2. in the case of a multi-member management board: the President of the Management Board individually, two members of the management board jointly, or one member of the management board and a commercial proxy. However, with respect to disposing of rights and incurring obligations with a one-off value of up to PLN 250,000.00, the company may be represented by each member of the management board individually, also in the case of a multi-member management board. Each member of the management board may also individually receive declarations and sign documents that do not result in incurring an obligation or disposing of a right.
