Manner of representation

1. In the case of a one-person management board, the President of the Management Board is independently authorised to make declarations of will and sign documents on behalf of the company. 2. In the case of a multi-member management board, the following persons are authorised: a) the President of the Management Board – independently, without limitations as to amount; b) the Vice-President of the Management Board – independently, but solely with respect to obligations: a) one-off obligations – with a value not exceeding PLN 100,000.00 gross (in words: one hundred thousand Polish zlotys) or b) continuing or periodic obligations – where the total value of the company’s performances during the subsequent twelve months does not exceed PLN 100,000.00 gross (in words: one hundred thousand Polish zlotys). To incur, on behalf of the company, obligations exceeding the values referred to in the preceding sentence, joint action by the Vice-President of the Management Board together with the President of the Management Board or by the Vice-President of the Management Board together with a commercial proxy is required. In the case of an obligation whose value is unspecified or impossible to determine unambiguously at the time of performing the act, as well as in the case of court proceedings, it is assumed that joint representation by the Vice-President of the Management Board together with the President of the Management Board or jointly with a commercial proxy is required.
