Manner of representation

In the case of a one-person management board, the company is represented independently by the sole member of the management board. In the case of a multi-member management board, the company is represented: 1. by each member of the management board independently with respect to: a. non-property rights and obligations; and b. property rights and obligations with a value not exceeding PLN 10,000 (ten thousand zlotys) in a single instance, or, in the case of continuous performances, not exceeding PLN 50,000 (fifty thousand zlotys); 2. by two members of the management board acting jointly with respect to property rights and obligations with a value exceeding PLN 10,000 (ten thousand zlotys) in a single instance, or, in the case of continuous performances, not exceeding PLN 50,000 (fifty thousand zlotys). In the case of recurring performances or performances of a continuous nature, the value of the performance or obligation is the sum of the performances for 6 (six) consecutive months, and if the performance lasts less than 6 (six) months, for the entire duration thereof.
