Manner of representation
The management board represents the company. In the case of a one-person management board, the independent action of the member of the company’s management board is required to represent the company externally. In the case of a multi-member management board, each member of the management board is authorised to represent the company independently in transactions involving disposition of or incurring obligations up to the value of PLN 50,000.00 (fifty thousand zloty), whereas transactions involving disposition of or incurring obligations exceeding PLN 50,000.00 (fifty thousand zloty) require the joint action of two members of the management board or one member of the management board jointly with a commercial proxy.
