Manner of representation

1. The following are authorised to make declarations of will on behalf of the company: a) each member of the management board independently in matters with a value of up to PLN 100,000.00 (one hundred thousand zloty), in a single legal act or within a single legal relationship (agreement, transaction); b) three members of the management board jointly in matters with a value exceeding PLN 100,000.00 (one hundred thousand zloty), and irrespective of the value in matters concerning: (i) the acquisition, disposal or encumbrance of real property or the right of perpetual usufruct; (ii) the granting of sureties, guarantees or the incurring of bill-of-exchange liabilities by the company; (iii) the taking out of a loan or borrowing in an amount exceeding PLN 100,000.00 (one hundred thousand zloty); (iv) the disposal or encumbrance of the company’s intellectual property rights; (v) the establishment of a commercial proxy or special powers of attorney. 2. The value of a legal act is calculated as the sum of all the company’s obligations arising from a given agreement or transaction in one financial year. In the case of multi-year agreements, the sum for a period of up to 3 years.
