Manner of representation

The following person is authorised to submit declarations of will on behalf of the company: 1. in the case of a one-person management board – each member of the management board independently; 2. in the case of a multi-member management board: a) the President of the Management Board may independently incur liabilities and represent the company up to the amount of 100,000 zlotys, and each other member of the management board up to the amount of 50,000 zlotys; b) incurring liabilities and representing the company in transactions exceeding 50,000 zlotys but not exceeding 100,000 zlotys shall require representation by the President of the Management Board independently or by two other members of the management board acting jointly, and in transactions exceeding 100,000 zlotys it shall require representation by two members of the management board acting jointly; in other matters (non-property matters) – each member of the management board independently represents the company.
