Manner of representation

In the case of a one-person management board, the member of the company’s management board is entitled to submit declarations of will on behalf of the company and represent it independently. In the case of a multi-member management board being appointed, the following applies for submitting declarations on behalf of the company: in non-property matters, each member of the company’s management board is entitled to act independently; in property matters with a value not exceeding PLN 100,000.00 (one hundred thousand zloty), each member of the company’s management board is entitled to act independently; in property matters with a value exceeding PLN 100,000.00 (one hundred thousand zloty), two members of the company’s management board acting jointly, or one member of the company’s management board acting jointly with a commercial proxy, are authorised.
