Manner of representation

In the case of a one-person management board, the President of the Management Board is authorised to make declarations of will and sign on behalf of the company independently. In the case of a multi-member management board, each member of the management board is authorised to make declarations of will and sign on behalf of the company independently, provided that, when making declarations of will on behalf of the company concerning legal acts whose value exceeds PLN 50,000.00 net, joint action by two members of the management board acting jointly is required to represent the company. The value of the legal act referred to in the preceding sentence means the total value of the company's performances arising from that legal act, and in the case of contracts concluded for a definite period, the value of the performances for the entire term of the contract. In the case of contracts concluded for an indefinite period, the value of the legal act is determined according to the value of the company's performances for the subsequent 12 months of the contract's term.
