Manner of representation

In the case of a multi-member management board, each member of the management board is entitled to represent the company independently, with the proviso that, for disposing of a right or incurring an obligation with a value exceeding PLN 200,000.00 (two hundred thousand zloty), joint action by two members of the management board or by one member of the management board jointly with a commercial proxy or an attorney-in-fact within the scope of the authority granted to the attorney-in-fact is required to make declarations on behalf of the company.
