Manner of representation
1. In the case of a one-person management board, declarations on behalf of the company shall be made by the member of the management board. 2. In the case of a management board consisting of two or more persons, each member of the management board is authorised to make declarations on behalf of the company independently, subject to section 3. 3. The disposal of a right or the incurring of an obligation to perform a service with a value exceeding PLN 50,000.00 (in words: fifty thousand złoty) requires the joint action of two members of the management board acting jointly, or one member of the management board jointly with a commercial proxy. 4. In the case of continuing or periodic obligations, the value referred to in section 3 shall be determined on the basis of the total value of the services for a period of one year, and if the legal transaction concerns a service for a period shorter than one year, for the entire duration of that legal transaction.
