Manner of representation
1. In the case of a one-person management board, declarations of will on behalf of the company are made by the sole member of the management board. 2. In the case of a multi-member management board, the following are authorised to represent the company: a. in non-property matters or for disposing of a right or incurring obligations with a value of up to and including PLN 500,000.00 (five hundred thousand złoty), each member of the management board independently; b. for disposing of a right or incurring obligations with a value exceeding PLN 500,000.00 (five hundred thousand złoty), two members of the management board or one member jointly with a commercial proxy, whereby in the case of recurring performances, the value of the matter is the sum of the performances for one year, and if the performances last for less than one year – for the entire period of their duration.
