Overview
Authorized Representatives
Manner of representation
Each member of the management board is entitled to independently represent the foundation, except that the joint action of two members of the management board is always required for: making a declaration of will resulting in the foundation incurring any monetary or non-monetary liability, regardless of its value, duration, or conditional or future nature; issuing an instruction for the payment, withdrawal or release of cash from a bank account, cash desk or other resources of the foundation, regardless of the amount; performing another act concerning the rights or property of the foundation if its value exceeds PLN 100,000.00 gross. Incurring a liability also means its amendment, extension, renewal, acknowledgment, securing or assumption, as well as performing another act from which a current, future, conditional or time-limited obligation to render a monetary or non-monetary performance may arise for the foundation. When determining the value of an act, the value of economically, legally, subject-related or object-related connected acts shall be aggregated; dividing them in order to circumvent the requirement of joint action by two members of the management board is prohibited. An act of undetermined or impossible-to-determine value requires joint action by two members of the management board. If only one member of the management board remains, that member may not perform acts requiring joint action by two members of the management board. In agreements between the foundation and a member of the management board and in disputes with a member of the management board, the foundation is represented by the foundation council, on behalf of which the chairperson of the foundation council or another member of the foundation council designated by its resolution acts.
