Manner of representation

1. For making declarations of will on behalf of the foundation, including in property and non-property matters, the following persons are authorised: a) in the case of a one-person management board – the President of the Management Board independently; b) in the case of a two-person management board – the President of the Management Board or the Vice-President of the Management Board independently; c) in the case of a three-person management board – the President of the Management Board or the Vice-President of the Management Board independently, or two members of the management board acting jointly. 2. Declarations of will on behalf of the foundation may be made by a person authorised by the management board. 3. The management board may appoint attorneys-in-fact to handle specific matters of the foundation. A resolution of the management board shall specify the scope of authorisation of the attorney-in-fact. 4. Declarations made to the foundation may be accepted independently by any member of the management board or by a person authorised by the management board. 5. In agreements between the foundation and a member of the management board and in disputes with a member of the management board, the foundation is represented by the foundation council, and where the foundation council has not been appointed, by an attorney-in-fact appointed by a resolution of the founders' assembly. The member of the management board to whom the given action directly relates shall not participate in adopting the resolution on appointing the attorney-in-fact or determining the terms of that action.
