Manner of representation

In the case of a one-person management board, declarations on behalf of the company are made by a member of the management board independently. In the case of a management board consisting of two or more persons: each member of the management board is authorised independently to perform non-property acts, including representing the company before courts and governmental and local-government administrative authorities. Each member of the management board is authorised independently to dispose of a right or incur obligations for a performance with a value not exceeding PLN 20,000.00 (in words: twenty thousand zlotys). For disposing of a right or incurring obligations for a performance with a value exceeding PLN 20,000.00 (in words: twenty thousand zlotys), the joint action of two members of the management board or one member of the management board with a commercial proxy is required.
