Manner of representation

In the case of appointing a one-person management board, the President of the Management Board is authorised to represent the company, make declarations of will and sign documents on behalf of the company. In the case of appointing a multi-member management board, each member of the management board is authorised to represent the company, make declarations of will and sign documents on behalf of the company, subject to the following: for making declarations on behalf of the company, including disposing of a right or incurring obligations with a value of up to PLN 50,000 (in words: fifty thousand zlotys), each member of the management board is authorised to act independently, provided that for periodic, continuous or open-ended transactions, the value of the transaction is determined according to the total value of the company's performances over a period of 12 months; for making declarations on behalf of the company, including disposing of a right or incurring obligations with a value exceeding PLN 50,000 (in words: fifty thousand zlotys), joint action of the President of the Management Board of the company and a member of the management board of the company is required. Declarations made to the company and service of documents on the company may be effected upon one member of the management board. Disposal of a right or incurring an obligation to render a performance with a value exceeding ten times the company's share capital requires a unanimous resolution of the partners' meeting.
