Manner of representation

1. For making declarations of will on behalf of the association, including in property-related matters, subject to paragraph 2, joint action of two members of the management board is required. 2. In current management matters whose value does not exceed PLN 5,000 gross, the association may be represented independently by the President of the Management Board, provided that the given transaction falls within the association’s approved financial plan, results from a resolution of the management board, or is an ordinary administrative, organisational or technical transaction connected with the association’s current operation. 3. The independent representation referred to in paragraph 2 does not cover transactions concerning: a) incurring property liabilities exceeding PLN 5,000 gross; b) commencing, suspending or terminating business activity; c) employing an employee under an employment contract; d) acquiring, disposing of or encumbering assets of significant value; e) concluding agreements of a strategic or long-term nature, or extending beyond the ordinary management of the association; f) granting recommendations, certifications, accreditations or patronage on behalf of the association, if the transaction is of material importance to its image; g) other transactions which, pursuant to the articles of association, a resolution of the management board or a resolution of the general meeting of members, require joint action of two members of the management board. 4. The management board may grant powers of attorney to perform specific transactions or transactions of a specific kind. 5. Granting a power of attorney requires a resolution of the management board and observance of the written form or another special form required by law for the given transaction. 6. A power of attorney may not cover transactions which, pursuant to the articles of association, require a resolution of the general meeting of members, unless the general meeting of members decides otherwise.
