Manner of representation

The following are authorised to make declarations of will and sign documents on behalf of the company: a) each member of the management board independently in matters concerning incurring liabilities or disposing of property rights with a value not exceeding PLN 30,000.00 (thirty thousand zlotys) net within one legal transaction or several related legal transactions; b) two members of the management board acting jointly, or one member of the management board acting jointly with a commercial proxy, in matters concerning incurring liabilities or disposing of property rights with a value exceeding PLN 30,000.00 (thirty thousand zlotys) net; c) in the case of a one-person management board, the sole member of the management board represents the company independently without amount limitations in the case of periodic or continuous performances or contracts concluded for a definite or indefinite period; the value of the legal transaction is determined as the total value of the company's performances for the entire term of the contract, and if the contract was concluded for an indefinite period, for a period of 12 months. The performance of several legal transactions related to one another and aimed at achieving one economic objective is deemed to constitute one legal transaction for the purposes of determining the value referred to above.
