Manner of representation

Each member of the management board is entitled to independently make declarations of will on behalf of the foundation and to independently represent the foundation before third parties. Each member of the management board may independently sign agreements, letters, applications, declarations, forms, powers of attorney and other documents related to the foundation’s activities, unless the law or the provisions of the Articles of Association provide otherwise. Incurring a liability, concluding an agreement or disposing of property whose one-off value or total anticipated value of the foundation’s performances over a period of 12 months exceeds PLN 30,000.00 requires a prior resolution of the management board, and in such an act the foundation is represented by both members of the management board acting jointly, subject to the special rules of representation in agreements with members of the management board set out in the Articles of Association.
