Manner of representation

1. If there is a multi-member management board, the following are authorised to submit declarations on behalf of the company: A. with respect to acts whose value does not exceed PLN 200,000.00 (ten thousand zloty), or which do not create financial obligations on the part of the company, including, among others, representing the company before all authorities, administrative bodies, legal persons and natural persons in order to obtain any permits and administrative decisions, including decisions on land development conditions and construction permits for the properties being acquired – each member of the management board independently; B. with respect to acts whose value exceeds PLN 200,000.00 (ten thousand zloty) – joint action by two members of the management board or by one member of the management board jointly with a commercial proxy is required. 2. If there is a one-person management board, the member of the management board or the commercial proxy is authorised independently to submit declarations on behalf of the company.
