Manner of representation

In the case of a one-person management board, a member of the management board or a commercial proxy acting independently is authorised to make declarations of will on behalf of the company. If the management board is multi-member, each member of the management board acting independently or a commercial proxy acting independently is authorised to make declarations of will on behalf of the company. Irrespective of the composition of the company’s management board, disposal of a right or assumption of an obligation to render a performance with a value exceeding PLN 100,000.00 (in words: one hundred thousand zlotys), as well as acquisition, disposal or encumbrance of real property, establishment of a business entity or accession to another business entity, requires joint action by two members of the management board or by one member of the management board jointly with a commercial proxy, and in the case of a one-person management board, a prior resolution of the partners’ meeting is required.
