Manner of representation

1. Each member of the management board (the President of the Management Board and a member of the management board) is independently authorised to submit declarations of will and represent the foundation externally in property and non-property matters, subject to sections 2 and 4 of this paragraph. 2. In property matters, if the one-time value of an expense, disposal of a right or incurring of a liability exceeds PLN 10,000 (in words: ten thousand zlotys) gross, joint action by two members of the management board acting jointly is required to represent the foundation and submit declarations of will on its behalf. 3. Representations specified in section 2. 4. Matters of material importance to the foundation, in particular: 1) concerning the disposal of or encumbering of real property, after obtaining the prior consent of the Foundation Council; 2) granting general powers of attorney, also require the joint action of two members of the management board.
