Manner of representation

In the case of a one-person management board, the company is represented by one member of the management board independently. In the case of a multi-member management board: a) with regard to ordinary management activities, understood as activities with a value not exceeding PLN 100,000.00 (one hundred thousand złoty), each member of the management board may represent the company independently; b) with regard to activities exceeding ordinary management, in particular with a value exceeding PLN 100,000.00, the company is represented by two members of the management board acting jointly, or one member of the management board jointly with a commercial proxy. In the case of continuous or repetitive activities, their value shall be determined by taking into account the total value of the performances due for a period of 12 (twelve) months from the date of conclusion of the relevant agreement, and if the agreement was concluded for a shorter period – for the entire period of its validity.
