Manner of representation

In the case of a one-person management board, the sole member of the management board is authorised to make declarations of will on behalf of the foundation independently. In the case of a multi-member management board, each member of the management board is authorised to make declarations of will on behalf of the foundation independently in non-property matters and in property matters with a value not exceeding PLN 10,000.00. In the case of a multi-member management board, joint action by two members of the management board is required to make declarations of will on behalf of the foundation in property matters with a value exceeding PLN 10,000.00. Regardless of the value of the obligation, joint action by two members of the management board is required for the conclusion of a grant, subsidy or co-financing agreement, the conclusion of a credit, loan, leasing, guarantee or other obligation of a similar nature, the conclusion of an agreement with a founder, a member of the management board or an entity related to a founder or a member of the management board, the conclusion of a paid agreement with a member of the management board, the disposal of copyright, a trademark, an internet domain, a logo or other designation of the foundation, and the acquisition, disposal or encumbrance of real property.
