Manner of representation
1. The President who is the founder represents the foundation independently, subject to § 21 of the Articles of Association. 2. The President who is not the founder and each Vice-President represent the foundation independently in all matters, except for reserved acts and matters involving a conflict of interest. 3. The remaining members of the management board represent the foundation jointly with the President or Vice-President, unless the Articles of Association provide otherwise. 4. During the President’s replacement pursuant to the Articles of Association, the person performing the replacement exercises the President’s powers in conducting the affairs of and representing the foundation, subject to the rules concerning reserved acts and conflicts of interest.
