Manner of representation

1. For making declarations of will in all property and non-property matters of the association, including incurring obligations and concluding contracts on behalf of the association, the President and another member of the management board acting jointly, or the Vice-President and another member of the management board acting jointly, are authorized, subject to paragraph 5. 2. In contracts between the association and a member of the management board and in disputes with such member, the association is represented by a member of the audit committee indicated in a resolution of that body or by an attorney-in-fact appointed by a resolution of the general meeting. 3. The general meeting is the body authorized to appoint an attorney-in-fact or attorneys-in-fact to represent the association in contracts between the association and a member of the management board and in disputes between the association and a member of the management board. 4. The audit committee is the body authorized to designate its representative to represent the association in contracts between the association and a member of the management board and in disputes between the association and a member of the management board. 5. The association’s management board is authorized to appoint an attorney-in-fact or attorneys-in-fact of the management board, subject to paragraphs 3 and 4. The resolution appointing the attorney-in-fact specifies the scope of the authorization.
