Manner of representation

In the case of a one-person management board, the company is represented by the sole member of the management board. In the case of a multi-member management board, each member of the management board is authorised to represent the company independently in legal transactions whose total value does not exceed PLN 1,000,000, including the acquisition of real property, disposal of real property, establishment or release of security interests, incurring liabilities, granting loans, and concluding investment agreements, agreements with contractors and all agreements related to the company’s business. To perform a legal transaction whose value exceeds PLN 1,000,000, joint action by two members of the management board or by a member of the management board acting jointly with a commercial proxy is required, if a commercial proxy is appointed.
