Notarial deed dated 10 December 2016, Rep. No. 3279. On 30 December 2016, Atradius Credit Insurance N.V., based in Amsterdam and registered in the Dutch Commercial Register under No. 33024388 (the acquired company), was taken over by Compañía Española de Seguros y Reaseguros de Crédito y Caución S.A., based in Madrid and registered in the Spanish Commercial Register under No. M-171.144 (the acquiring company). The merger was carried out under Law 3/2009 of 3 April on structural changes to companies and Directive 2005/56/EC of the European Parliament and Council of 26 October 2005 on cross-border mergers of limited liability companies. As a result, the acquiring company acquired all rights and obligations of the acquired company by universal succession and changed its name to Atradius Crédito y Caución S.A. de Seguros y Reaseguros. The acquired company and its Polish branch, Atradius Credit Insurance N.V. – joint-stock company – branch in Poland, KRS No. 0000213253, were dissolved by operation of law without liquidation proceedings.
