II. 31.10.2012 – cross-border merger of coface austria holding ag, an Austrian public limited company registered in Vienna under FN 65493 p (the acquired company), with compagnie francaise d'assurance pour le commerce exterieur (coface), a French public limited company registered in Nanterre under 552 069 791 (the current foreign enterprise)

Attorney-in-fact. Under an agreement dated 09.07.2007 between coface austria kreditversicherung ag, Vienna, and coface beteiligungen aktiengesellschaft, Vienna, the entire insurance business of coface austria kreditversicherung ag, renamed coface austria holding ag on the transfer date, was transferred to coface beteiligungen aktiengesellschaft, renamed coface austria krediversicherung ag on the transfer date. Pursuant to §8(1)(d) of the agreement dated 09.07.2007, Coface Austria Krediversicherung AG's branch in Poland was transferred to Coface Beteiligungen Aktiengesellschaft, whose name was changed on the date of transfer to Coface Austria Kreditversicherung AG
