Pursuant to the terms of the framework agreement dated 27.01.2011, concluded between caixa de ahorros y pensiones de barcelona "la caixa" ("la caixa") and two companies belonging to the same capital group, namely criteria caixacorp, s.a. ("criteria") and microbank de "la caixa", s.a. ("microbank"), "la caixa" was transformed into a joint-stock company under the name caixabank, s.a., whose shares are listed on the stock exchange. The transformation operation took place in three consecutive stages. The merger date was 30 June 2011 and the transformation transaction was registered in the relevant commercial register on that date, and Caixabank, S.A., by operation of law, succeeded by universal succession to all rights and obligations of the acquired company.
