When undertaking obligations in an amount exceeding PLN 100,000.00, a declaration must be made by two members of the management board, or by one member of the management board and an attorney-in-fact of the management board acting jointly. Each member of the management board may grant an employee of the foundation power of attorney to sign, on their behalf, documents that result in the undertaking of an obligation or release from an obligation up to the amount of PLN 100,000. The power of attorney document must specify precisely the scope of the authorization and its duration. In the case of entering into commercial agreements, the foundation’s representation is as stated above.
