Manner of representation

Declarations on behalf of the association concerning the incurrence of obligations or disposal of the association’s assets up to the amount of PLN 20,000 in a single transaction are made by one member of the management board. Declarations on behalf of the association concerning the incurrence of obligations or disposal of the association’s assets exceeding PLN 20,000 in a single transaction are made by two members of the management board. The incurrence of property obligations and disposal of assets exceeding PLN 100,000 in a single transaction additionally requires a resolution of the management board. The preceding sentence does not apply to transactions consisting in concluding agreements with the NFZ concerning the provision of all healthcare services and other activities of the association, or concluding agreements with banks concerning renewable negotiated deposit agreements at fixed intervals. In matters involving decisions concerning recurring services, the value of the obligation incurred is calculated by adding up the services for one year, or, if the services last less than one year, for the entire duration thereof.
