Manner of representation

If the company's management board consists of two or more members: 1. Each member of the management board has the right to represent the company independently when: A) the value of a one-time liability, or B) the total value of a liability incurred for a period not exceeding 1 year, or C) the total annual value of a liability incurred for a period longer than 1 year, does not exceed the equivalent of EUR 50,000 (fifty thousand euros), converted at the average NBP exchange rate on the date of occurrence of the event giving rise to the liability, and D) regardless of the value of the liability, in the case of representing the company before all public administration bodies, courts, including arbitration courts, and in mediation, negotiations and other disputes conducted by the company; 2. if the value of the liability referred to in point 1(A), 1(B) or 1(C) exceeds the equivalent of EUR 50,000 (fifty thousand euros), converted at the average NBP exchange rate on the date of occurrence of the event giving rise to the liability, or if that value cannot be determined in accordance with point 1(A), 1(B) or 1(C), the company is represented jointly by two members of the management board.
