Manner of representation

Declarations of will on behalf of the foundation, the incurring of pecuniary liabilities and legal acts of the foundation of a disposal nature up to an amount of the liability not exceeding three times the average average monthly remuneration in the national economy in the preceding quarter, from the first day of the month following the month in which the President of the Central Statistical Office announces it in the Official Journal of the Republic of Poland “Monitor Polski”, require the signature of one person forming part of the management board. Declarations of will on behalf of the foundation, the incurring of pecuniary liabilities and legal acts of the foundation of a disposal nature up to an amount of the liability exceeding three times the average average monthly remuneration in the national economy in the preceding quarter, from the first day of the month following the month in which the President of the Central Statistical Office announces it in the Official Journal of the Republic of Poland “Monitor Polski”, require the signatures of two persons forming part of the management board, including the President or Vice-President. The management board may, by resolution, appoint attorneys-in-fact acting on behalf of the foundation, specifying their authority, in particular by specifying the duration and scope of the power of attorney. The power of attorney may not concern matters related to the employment of employees, regardless of the legal basis of their employment. The power of attorney referred to in paragraph 3 requires the adoption of a resolution on this matter by the management board and the granting of the power of attorney in writing under pain of invalidity. Any person forming part of the management board is authorised to receive declarations on behalf of the foundation.
