Manner of representation

1. The following persons are authorised to make declarations of will concerning the company's proprietary and non-proprietary rights and obligations: a) in the case of a multi-member management board, if the declaration of will results in incurring an obligation or disposing of a right to performances in an amount in Polish zloty exceeding the equivalent of EUR 1,000,000 (one million) according to the average exchange rate of this currency announced by the National Bank of Poland applicable on the date of making the declaration, two members of the management board acting jointly, or one member of the management board together with a commercial proxy or attorney-in-fact acting within the scope of the authority granted to them; b) in the case of a multi-member management board, if the declaration of will results in incurring an obligation or disposing of a right to performances in an amount in Polish zloty not exceeding the equivalent of EUR 1,000,000 (one million) according to the average exchange rate of this currency announced by the National Bank of Poland applicable on the date of making the declaration, and in the case of a one-person management board, each member of the management board independently, or a commercial proxy or attorney-in-fact acting within the scope of the authority granted to them.
