Manner of representation

Externally, the management board is represented by the President and, in his absence, by the Vice-President or another member of the management board authorised by the President. The Director of ZLOP may represent ZLOP within the scope of ordinary management, including in financial matters, within the scope of the authorisation granted by the management board specifying the maximum limit of obligations which may be undertaken by the Director. This limit may not exceed PLN 10,000. For the validity of declarations of will, letters and documents concerning the financial rights and obligations of ZLOP, the President is authorised, and in his absence, the Vice-President or another member of the management board authorised by the President. Incurring financial obligations exceeding PLN 50,000 requires a resolution of the management board.
