Manner of representation

1. The joint action of two members of the management board of the foundation or of a member of the management board of the foundation jointly with a commercial proxy is required to submit declarations on behalf of the foundation and represent it externally. 2. Each member of the management board has the right and obligation to conduct the affairs of the foundation not exceeding the scope of ordinary activities up to the amount of PLN 5,000. 3. Employment-law activities with respect to persons employed by the foundation are performed on behalf of the foundation independently by the President of the Management Board or another person designated for this purpose. 4. In legal relations between the foundation and a member of the management board of the foundation, the foundation is represented by an attorney-in-fact appointed by resolution of the foundation council.
