The following persons are authorised to make declarations of will and sign agreements on behalf of the company: A. in the case of a one-person management board – the sole member of the management board independently; B. in the case of a multi-member management board – each member of the management board independently, if the value of the subject of the disposal or of the obligation assumed does not exceed PLN 50,000. If the value of the disposal or of the obligation assumed exceeds PLN 50,000, two members of the management board acting jointly or a member of the management board jointly with a commercial proxy are authorised to make declarations of will on behalf of the company and perform legal acts. In non-property matters, each member of the management board represents the company independently.
