Manner of representation

In the event of the appointment of a multi-member management board, the President of the Management Board and the Vice-President of the Management Board are authorised independently, two members of the management board, or a member of the management board together with a commercial proxy, or an attorney-in-fact within the scope of authorisation, to submit declarations concerning the company's property rights and obligations and to sign documents on behalf of the company resulting in the disposal of a right whose value does not exceed the equivalent in PLN of PLN 100,000.00 (one hundred thousand złoty), inclusive, or the creation of an obligation to render a performance in the equivalent in PLN of up to PLN 100,000.00 (one hundred thousand złoty), inclusive. For values exceeding the equivalent in PLN of PLN 100,000.00 (one hundred thousand złoty), the joint action of two members of the management board or of a member of the management board acting together with a commercial proxy, or an attorney-in-fact within the scope of authorisation, is required.
