Manner of representation

Authorised to represent the company externally and to make declarations of will on behalf of the company are: 1. in the case of a one-person management board – the President of the Management Board independently; 2. in the case of a two-person management board – a member of the management board independently; 3. in the case of a management board consisting of at least three persons: a) the President of the Management Board independently; b) the Vice-President independently; c) a member of the management board who is neither the President of the Management Board nor the Vice-President: for disposing of a right or incurring pecuniary obligations up to a performance not exceeding PLN 200,000.00 (two hundred thousand zlotys), as well as acts authorising such transactions – independently; for disposing of a right or incurring pecuniary obligations exceeding PLN 200,000.00 (two hundred thousand zlotys) and at the same time not exceeding PLN 1,000,000.00, as well as acts authorising such transactions – 2 (two) members of the management board acting jointly or a member of the management board acting jointly with a commercial proxy; for disposing of a right or incurring pecuniary obligations exceeding PLN 1,000,000.00, as well as acts authorising such transactions – a member of the management board acting jointly with the President of the Management Board or the Vice-President; for other acts – two members of the management board acting jointly or a member of the management board acting jointly with a commercial proxy.
