Manner of representation

Declarations of will on behalf of the company shall be made and signed as follows: 1. In the case of a one-person management board, independently by the President of the company in all matters of the company. 2. In the case of a multi-member management board: a) in matters not exceeding ordinary activities in property matters, by each member of the management board or a commercial proxy independently; b) in non-property matters or matters exceeding ordinary activities in property matters, by at least two members of the management board jointly or by one member of the management board jointly with a commercial proxy. In representing the company, incurring or releasing obligations up to an amount constituting the PLN equivalent, on the date of making the declaration of will, of EUR 250,000 (two hundred and fifty thousand euros) according to the average exchange rate of the National Bank of Poland shall be deemed ordinary activities in property matters, whereby, in the case of periodic performances, the amount of the obligation shall be assessed according to the value of the annual performances or, for contracts shorter than one year, for the entire term of the contract.
