Manner of representation

1. The company is represented by the general partner, or by a limited partner as an attorney-in-fact or commercial proxy. 2. The general partner’s right to represent the company covers all judicial and extrajudicial acts of the company. The general partner, namely PRONAL spółka z o.o., is represented by the management board. The management board of the general partner consists of Artur Dalecki and Leopold Rudziński. In the case of a one-person management board, a member of the management board represents the company independently. In the case of a multi-member management board, each member of the management board is entitled to submit declarations of will of a non-property nature on behalf of the company independently, whereas for submitting declarations of will on behalf of the company concerning the acquisition of rights and incurring liabilities: 1. in acts where the value of the liability or disposition does not exceed PLN 20,000 (twenty thousand zlotys), each member of the management board is entitled to act independently (individual representation); 2. in acts where the value of the liability or disposition exceeds PLN 20,000, the joint action of two members of the management board or of a member of the management board with a commercial proxy is required (joint representation).
