Manner of representation

1. In the case of a one-person management board: the President of the Management Board independently. 2. In the case of a two-person management board: a) the President of the Management Board independently up to PLN 100,000; above PLN 100.00 jointly with the Vice-President of the Management Board; b) the Vice-President of the Management Board independently up to PLN 50,000; above PLN 50,000 jointly with the President of the Management Board. 3. In the case of a three-person or larger management board: a) the President of the Management Board independently up to PLN 100,000; from PLN 100,000 to PLN 200.00 jointly with a member of the management board; above PLN 200.00 jointly with two members of the management board; b) the Vice-President of the Management Board independently up to PLN 50,000; from PLN 50,000 to PLN 150.00 jointly with a member of the management board; above PLN 150,000 jointly with two members of the management board; c) a member of the management board independently up to PLN 25,000; from PLN 25,000 to PLN 50,000 jointly with another member of the management board. 4. In the case of a multi-member management board, in non-property-related matters, pursuant to Article 205 § 1 of the Commercial Companies Code, the joint action of two members of the management board or of one member of the management board jointly with a commercial proxy is required.
