Manner of representation

The company is represented by the general partners. Pursuant to § 5 section 3 of the limited partnership agreement: the general partner represents the company individually. The right to represent the company extends to all judicial and extrajudicial acts connected with conducting the company’s business. The company may be represented by a limited partner only within the scope of the power of attorney granted to the limited partner by the general partner or of commercial proxy authority. In matters exceeding the scope of the company’s ordinary business, the consent of the limited partner is not required. The person representing the general partner is ARKADIUSZ ADAM MARCZUK–President of the Management Board of AUTO ABC SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ with its registered office in Szczecin. The first management board of AUTO ABC SP. Z O.O. is composed of one person, namely the first management board, and Mr ARKADIUSZ ADAM MARCZUK was appointed by the partners to that one-person management board. Method of representation of the partner–the general partner AUTO ABC SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ: joint action by two members of the management board or by one member of the management board jointly with a commercial proxy or with another attorney-in-fact of the company is required to make declarations and sign on behalf of the company. A one-person management board is authorized to make declarations and sign on behalf of the company independently and without limitations.
